Association of Independent Directors of India (AIDI) is formed with the primary objective of advancing exemplary board governance, establishing leading boardroom practices and safeguarding the institution of Independent Directors in India. As a non-profit, we are committed to facilitating healthy interface with the government to promote effectiveness of the Board as per the Companies Act, 2013. AIDI is committed to providing existing directors and aspiring board leaders in India a platform for advocacy, networking and expert solutions to promote responsible business practices for the benefit of the business community and society as a whole.

We believe that good corporate governance should be based on the four principles of transparency, accountability, responsibility, and fairness, building on the underlying assumptions of separation of ownership and control, and separation of management and governance. Our mission is to promote ideal corporate governance framework by integrating these values, sharing best practices and becoming the voice of Independent Directors nationwide. By proactively creating and establishing this platform AIDI envisages the vision of creating high standards of ethical, moral and professional conduct, and their application in corporate governance. AIDI aims to build a vast network of trusted experts who work together to create innovative solutions for encouraging transparency, responsible decision-making process and holding directors accountable for their actions.

AIDI aspires to provide world-class director education programs, national peer exchange forums, and proprietary research to promote director professionalism, ultimately enhancing the economic sustainability of the enterprise and bolstering stakeholder confidence. It further intends to represent the issues of Independent Directors in all relevant forums. In addition, its target is to create and maintain the data bank of the potential & board-ready candidates for the position of Independent Directors.

In addition to setting and reviewing the strategic objectives of AIDI, the Board helps the association in creating meaningful and value adding development programmes and activities for the benefits of members.

Our Knowledge Forums

AID-India has constituted the following Knowledge Forums:

  • RISK MANAGEMENT COMMITTEE
  • AUDIT COMMITTEE
  • NOMINATION AND REMUNERATION COMMITTEE
  • CSR COMMITTEE
  • STAKEHOLDERS RELATIONSHIP COMMITTEE

These Forums are made up of members with high level academic qualifications and professional backgrounds in respective fields.

The primary objectives of these forums are to:

  • Guide and train the members to achieve the “Terms of Reference” of the committee as per the provisions of the Companies Act.
  • Identify issues which are of most concern to directors and suggest solutions for the same.
  • Raise the necessary issues with Government and regulators.
  • Be the voice for governance and directors’ issues in India.
  • Develop guidance on governance issues for directors.
